Terms of Service

These terms govern your use of Shae.io, operated by Syncs LLC, a California limited liability company.

1. Acceptance of Terms

Welcome to Shae.io ("Shae," "we," "us," or "our"). Shae is a web-based scheduling platform that helps friends and groups find overlapping availability to make plans. These Terms of Service ("Terms") govern your access to and use of the Shae.io website, progressive web application, and all related services, features, content, and applications (collectively, the "Service").

By accessing, browsing, or using the Service in any way — including by creating an event, sharing a Shae link, submitting your availability as a guest, creating an account, or interacting with any feature of the platform — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. We will notify registered users of material changes via the email address associated with their account or through a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

These Terms constitute a legally binding agreement between you and Shae.io. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. Shae.io is owned and operated by Syncs LLC, a California limited liability company.

2. Definitions

Throughout these Terms, the following capitalized terms have the meanings set forth below:

"Account" means a registered user profile created through our supported authentication methods (e.g., Google OAuth, Discord).
"Availability Data" means the time windows, schedule preferences, and related temporal information you submit through the Service.
"Blind Matching" means the proprietary process by which both parties independently submit their availability and only overlapping times are revealed, without exposing either party's full schedule.
"Content" means any text, data, information, images, or other materials uploaded, submitted, or transmitted through the Service.
"Event" means a scheduling instance created by a Host, including group events and one-on-one meetups.
"Guest" means any person who accesses a Shae link and submits availability without creating a registered Account.
"Host" means the registered user who creates an Event and generates a Shae link.
"Quorum" means the minimum number of participants that the Host designates as required for an Event to proceed.
"Shae Link" means the unique URL generated for each Event, which can be shared to allow others to participate.
"Vibe Profile" means the optional user profile feature that displays a user's activity preferences and general availability patterns.

3. Eligibility

The Service is intended for individuals who are at least 13 years of age. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet the applicable age requirements and that all information you provide is truthful and accurate. We reserve the right to terminate or suspend access for any user we reasonably believe does not meet these eligibility requirements.

The Service is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided personal information, we will take steps to delete such information.

4. Accounts and Registration

4.1 Account Creation

To access certain features of the Service (such as creating Events or setting up a Vibe Profile), you must create an Account. Account registration is facilitated through third-party authentication providers, including Google and Discord. By registering, you authorize us to access certain information from these providers as described in our Privacy Policy.

4.2 Guest Access

Shae is designed for zero-friction participation. Guests can access a Shae Link and submit their availability without creating an Account. By participating as a Guest, you agree to these Terms. Guest data is subject to the data retention and privacy practices described in our Privacy Policy.

4.3 Account Security

You are responsible for maintaining the security of your Account, including the security of your third-party authentication credentials. You agree to notify us immediately of any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to maintain adequate security of your Account.

4.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate any Account that contains inaccurate, outdated, or incomplete information.

5. Description of the Service

5.1 Core Functionality

Shae is a scheduling platform that enables users to coordinate plans with friends and groups. The core features of the Service include:

5.2 Blind Matching and Privacy

A core principle of Shae is mutual respect in scheduling. Our Blind Matching system ensures that when two individuals coordinate availability, neither party's complete schedule is revealed. Only overlapping available times are displayed. This design is fundamental to the Service and we are committed to maintaining this privacy-first approach.

5.3 Service Availability

We strive to maintain high availability of the Service, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes or planned downtime.

5.4 Beta Status

The Service is currently offered in beta. Features may be added, modified, or removed during the beta period. Beta features are provided "as is" and may contain bugs or errors. By using a beta feature, you acknowledge the experimental nature of such features and agree that we bear no liability for issues arising from beta functionality.

6. Pricing, Free Tier, and Future Paid Services

Shae currently offers its core scheduling functionality free of charge for groups of up to 10 participants. We reserve the right to introduce paid subscription tiers, premium features, or usage-based pricing in the future.

If we introduce paid services, we will clearly communicate pricing, billing terms, and any changes to the free tier before such changes take effect. Existing free-tier functionality available at the time you created your Account will not be retroactively removed without providing reasonable notice and, where practical, an equivalent alternative.

Any future paid services will be governed by additional terms that will be presented to you at the time of purchase.

7. User Conduct and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing Content, suspending or terminating Accounts, and reporting violations to law enforcement authorities.

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of any Content you submit to the Service, including event titles, activity descriptions, display names, and Vibe Profile information. By submitting Content, you grant Shae a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such Content solely for the purposes of operating, improving, and providing the Service.

8.2 Availability Data

You understand that Availability Data you submit will be processed by our algorithms to identify scheduling overlaps. In the case of Blind Matching, only overlapping availability is revealed to other participants. Your raw schedule data is never exposed to other users. We may use anonymized, aggregated Availability Data for analytics and Service improvement purposes.

8.3 Our Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to the Shae brand, logo, design, software, algorithms (including the Blind Matching algorithm and Quorum logic), text, graphics, icons, images, audio clips, and the compilation thereof — are owned by Shae.io, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Shae name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Shae.io. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

8.4 Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, non-exclusive, fully-paid, royalty-free right to use, exploit, and incorporate such Feedback in any manner and for any purpose, without obligation or compensation to you.

9. Privacy and Data Practices

9.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your information. By using the Service, you consent to the data practices described in the Privacy Policy.

9.2 Data Collection

We collect and process the following categories of data in connection with the Service:

We implement commercially reasonable technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of electronic storage or transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

9.4 Data Retention

We retain your data for as long as your Account is active or as needed to provide you the Service. Event data may be retained for a reasonable period after an Event concludes for Service improvement purposes. Guest data is retained in accordance with our Privacy Policy. You may request deletion of your data as described in Section 15.

9.5 Third-Party Services

The Service integrates with third-party services, including authentication providers (Google, Discord) and hosting infrastructure (Vercel, Supabase). These third-party services have their own terms of service and privacy policies. We are not responsible for the practices of these third parties. Your use of their services is subject to their respective terms.

10.1 Link Generation and Distribution

When you create an Event, the Service generates a unique Shae Link that can be shared with potential participants. You are solely responsible for the distribution of your Shae Links and for ensuring that links are shared only with intended recipients.

10.2 Public Nature of Links

Shae Links are accessible to anyone who possesses the URL. While the Service does not publicly index or list Shae Links, you acknowledge that any person with the link can access the Event and submit availability. You should treat Shae Links with the same care you would treat any shareable URL.

10.3 No Guarantee of Participation

Shae facilitates scheduling coordination but does not guarantee that participants will respond to a Shae Link, that Quorum will be met, or that plans will ultimately be confirmed. The Service is a coordination tool and is not responsible for the actions or inactions of participants.

11. Disclaimers and Limitation of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHAE.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.

SHAE DOES NOT WARRANT THAT THE SCHEDULING RESULTS PROVIDED BY THE SERVICE WILL BE ACCURATE, THAT ALL PARTICIPANTS WILL RESPOND, OR THAT PLANS COORDINATED THROUGH THE SERVICE WILL OCCUR. THE SERVICE IS A COORDINATION TOOL AND NOT A GUARANTEE OF ANY SOCIAL OUTCOME.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHAE.IO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
  • DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE.
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA OR CONTENT.
  • DAMAGES ARISING FROM MISSED PLANS, SCHEDULING ERRORS, OR RELIANCE ON INFORMATION PROVIDED BY THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SHAE.IO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF SHAE.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Shae.io and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

14. Termination

14.1 Termination by You

You may terminate your Account at any time by contacting us at the email address provided in Section 21 or through Account settings, if available. Upon termination, your right to access and use the Service will cease immediately.

14.2 Termination by Us

We may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent or illegal activity, extended periods of inactivity, or conduct that we reasonably believe is harmful to other users, the Service, or third parties.

14.3 Effects of Termination

Upon termination of your Account, your right to access the Service ceases immediately. We may, but are not obligated to, delete your Account data, Content, and Availability Data. The following provisions survive termination: Sections 8 (Content and Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 16 (Governing Law), and 17 (Dispute Resolution).

15. Your Rights and Data Controls

15.1 Access and Portability

You may request a copy of the personal data we hold about you. We will provide this data in a commonly used, machine-readable format within a reasonable timeframe.

15.2 Correction

You may update or correct your Account information at any time through your Account settings or by contacting us.

15.3 Deletion

You may request the deletion of your Account and associated personal data by contacting us. We will process deletion requests in accordance with applicable law, subject to any legal obligation to retain certain data. Please note that deletion of your Account will also remove your Vibe Profile and any Events you have hosted.

15.4 Objection and Restriction

You may object to or request restriction of certain data processing activities. We will honor such requests to the extent required by applicable law.

15.5 California Residents

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to delete, and the right to opt out of the sale of personal information. Shae does not sell personal information.

16. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding relating to your access to or use of the Service shall be instituted in the state or federal courts located in the State of California, and you irrevocably submit to the jurisdiction of such courts.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days. Informal dispute resolution begins when you send us a written notice describing the nature and basis of your claim and the specific relief sought.

17.2 Binding Arbitration

If we are unable to resolve a dispute informally, any remaining dispute, controversy, or claim shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Arbitration shall be conducted by a single arbitrator in the State of California, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

17.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHAE.IO EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS.

17.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights. Claims within the jurisdiction of small claims court may also be brought in such court.

18. Third-Party Links and Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Shae.io. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

The inclusion of any link does not imply endorsement, approval, or recommendation by Shae.io. You access third-party websites and services at your own risk and subject to those parties' respective terms and privacy policies. We strongly advise you to review the terms and privacy policies of any third-party site you visit.

19. Electronic Communications

By using the Service and providing your email address, you consent to receive electronic communications from us. These communications may include service announcements, administrative messages, event notifications, scheduling confirmations, and other information related to the Service.

You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of non-essential communications at any time through your Account settings or by following the unsubscribe instructions in any email we send.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Shae.io regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

20.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

20.3 Waiver

The failure of Shae.io to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Shae.io.

20.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this provision shall be null and void.

20.5 Force Majeure

Shae.io shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

20.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

20.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

20.8 Relationship of the Parties

Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Shae.io.
